OverviewJob SummaryProvides detailed and accurate review and preparation of basic to moderately complex legal documents regarding taxable and tax-exempt bonds; tax credit incentive programs including but not limited to, real estate, technology, film, capital expenditure and job creation; and a diverse portfolio of grant programs. Closes and manages activities related to bonds, all incentive and grant products.$55,643 - $69,554ResponsibilitiesEssential Duties and ResponsibilitiesCloses all incentive tax credit and grant products:Drafts commitment/approval letters.Reviews and analyzes submitted documentation as required by product type.Drafts incentive and grant agreements; and negotiates revisions with senior level executives, business consultants and/or customer''s legal counsel. Coordinates communication and approval by Authority staff and/or Office of the Attorney General (OAG).Reviews modification requests, including debarment questionnaires, and draft modification documents as necessary, ensuring amendments are completed in an accurate and timely manner.Coordinates closing with internal and external partners.Handles various post closing duties, including, but not limited to, collecting and processing fees, notifying specific Authority staff of closing and updates CRM/EnAble as required.Works closely with Director, Program Manager, and OAG in updating Authority''s standard documents and communicates revisions to appropriate staff.Evaluates incentives and grant product workflow processes to identify and implement changes to improve efficiencies for customers, and staff.Updates all processes, policies and procedures and communicates changes to the department and other Authority staff as necessary.Participates in special projects and assignments as requested by Director or Program Manager; and assumes additional duties, as required by department workload, Authority initiatives and creation of new products.Closes all bonds in conformance with Authority and IRS requirements:Coordinates all aspects of bond closing and post closing activities to ensure compliance of regulatory requirements, including recognition of impact of any regulatory/statutory amendments or advisories.Reviews bond financing documents prepared by Bond Counsel, and various professional opinions on direct purchase bond financings to ensure financings are closed in conformance with all requirements.Coordinates with Bond Counsel, OAG, Treasury, and other working group members as needed regarding bond financing transactions and proposed revisions to bond documents.Prepares accurate closing invoices, obtaining approvals from Underwriting.Ensures timely execution and filing of IRS Form 8038 and Form 8038 CAP Certification Packages.Ensures all bond post closing procedures are timely and accurately completed, including but not limited to: collecting closing fees, bond data and specific forms in order to comply with Executive Order 26 and Open Public Record Act, and IRS regulations.Evaluates bond workflow processes to identify and implement changes to improve efficiencies for customers and staff.Promotes teamwork and communication to encourage an interactive, cooperative, collaborative and customer focused work environment among division, EDA staff and external customers.Must complete annual and semiannual self-assessment as required.Performs other duties or special projects, as assigned.QualificationsRequired Skills and AbilitiesAbility to analyze basic to moderately complex legal problems, concepts, and documents with emphasis in the area of private activity bonds, incentives, and grant transactionsDraft basic to moderately complex legal documentsAbility to read, understand and interpret; and be proficient in the program creation documents, statutes, regulations, policies and procedures; and in multiple Federal and State rules and regulationsFamiliar with legal terminology and documents; ability to accurately review legal documents for acceptabilityAbility to understand, accept and adhere to established Authority proceduresSelf-starter with the ability to work with minimum supervisionDemonstrates emotional intelligence and exhibits robust interpersonal skillsAbility to communicate effectively both verbally and in writing; proficient in grammar, spelling and editing; and foster communications with business and governmental professionals; and Authority staffAbility to prioritize workload, must be highly organized, detail-oriented, handle various tasks simultaneously and work independently within limited time constrains with little or no supervision, shift priorities and programs as necessaryAbility to communicate effectively both verbally and in writing; proficient in grammar, spelling and editing; and foster communications with business professionals and EDA staffFunction smoothly, effectively, and efficiently under pressureAdaptable to changes in the work environment;
