Position Summary: Serve as an attorney within the Office of the General Counsel, providing support across ETS--- business units with a focus on employment law Provide legal advice, contract drafting, and review for domestic and international contracts, emphasis on state and federal contracts. Provides support to all levels of management over a range of legal issues, with a focus on employment law, that may arise throughout the company, including transactional work and compliance issues. Manages multiple complex projects with limited supervision. Responsibilities: May include any and all of the following: Advises on a broad range of complex and strategic legal and business matters, employment law, commercial transactions, government contracts, tax matters, mergers and acquisitions, marketing, export control, and compliance, data protection, privacy, matters applicable to the testing industry (administration, scoring and reporting scores), and other applicable regulatory matters. Develop new or revise existing company policies and position on legal issues Research, anticipate and advise company in connection with legal risks in business process and decision making Guide managers and ensure compliance with rules and regulations Keep up with current changes on all relevant areas of employment regulation and federal, state, and local laws Prepare, review, and defend company employment claims, developing position statements and responses to demands Consult with management, human resources, and operations to evaluate risk/liability and determine mitigation plans Develop the organization's policies on industry-specific issues, corporate governance, and regulatory affairs Monitors legal developments and trends, and provides training to business units on relevant legal issues. Drafts and prepares a range of legal documents, including, non-disclosure agreements, licenses, revenue and supply contracts, co-development agreements, corporate policies, etc. Working directly with business leaders and business teams to assist with various projects to advise them on relationships with clients, partners, vendors, etc. Review, advise and oversee work product of other units within the Office of the General Counsel. Principal point of contact with external counsel and compliance agencies regarding business complaints and issues. Manages external counsel in litigation, contract drafting, and negotiations in which ETS is directly involved. Adhere to ethical standards and comply with the laws and regulations applicable to the job function. Ability to work independently with minimal supervision. Must have solid legal and business judgment, initiative, and organizational skills with the ability to prioritize projects. Ability to form strong internal business relationships with demonstrated ability to work effectively within a team environment is crucial; as well as having excellent oral and written communication skills. Provides sound legal advice in a timely manner on a range of business and compliance issues Able to develop appropriate agreements that reflect the goals of the business unit and mitigate risk Recommend and assist in the implementation of business strategy as needed End-to-End project management and time management skills with a proven ability to meet deadlines ability to prioritize tasks and delegate when appropriate Thorough understanding of domestic and international legal contracts, business literacy, and financial literacy Independent client relations experience with demonstrated ability to manage meeting schedules and facilitation Education, Certifications, or Special Licenses: Juris Doctor degree Membership in one or more state bars and willingness to become a member of the New Jersey Bar Relevant Years of Experience: 3-5 years in a law firm or in-house legal department experience is required. Employment law background is preferred.
