• Benefits that balance employees short-term and long-term needsClick HERE for more information regarding our benefits and total rewards programResponsibilitiesSUMMARY DESCRIPTION - -The Corporate Counsel will report to the Deputy General Counsel, Tissue Technologies and will provide legal support for a variety of general corporate and commercial contracting matters. The Corporate Counsel will provide legal services to, among others, sales, marketing, regulatory, quality, clinical and product development personnel. The Corporate Counsel also will be expected to exhibit sound judgment, and to partner with colleagues at all levels of the Company, to provide advice and assistance in negotiating and drafting relevant documents and to otherwise execute on strategic priorities for the division. The Corporate Counsel must be adept at providing timely, pragmatic and effective legal support while managing multiple projects simultaneously. -RESPONSIBILITIES -Responsibilities include:
  • Draft, review, analyze and negotiate a range of agreements, including sales and marketing agreements, sales representation and distribution agreements, consulting agreements, clinical agreements, and evaluation and confidentiality agreements;
  • Develop a thorough understanding of and familiarity with the companys business, people, products, technology, markets, facilities, customers and competitors in order to assist the company in meeting overall strategic objectives;
  • Conduct promotional collateral reviews in support of marketing efforts;
  • Partner with the professional education team to provide advice and counsel on HCP agreements and educational events;
  • Assist in corporate development activities, including participation in due diligence;
  • Handle a high volume of legal work and respond promptly to client demands efficiently and practically;
  • Ensure all work is accomplished with quality and responsiveness and in accordance with Integra LifeSciences values;
  • Be a valued business partner to internal clients;
  • Stay abreast of laws and developing external trends, and educate and train department staff and internal clients on important legal issues relative to areas of responsibility; and
  • Handle special projects as may be assigned by managers or the General Counsel from time to time.Qualifications -Requirements include:
    • Bachelors degree and J.D. from accredited institutions;
    • Admitted to practice in New Jersey or ability to obtain admission for in-house practice in New Jersey;
    • At least 1-3 years of experience at a large law firm or in-house (preferably with a medical device or other life sciences company) in areas of increased responsibility;
    • A proven track record of successful contract/matter management, negotiating and drafting agreements in a fast-paced environment;
    • Ability to work on-site (hybrid) in Princeton NJ preferred; vaccination required for on-site employees;
    • Excellent interpersonal, communication and presentation skills;
    • Sound judgment combined with comfort and willingness to make decisions;
    • Outstanding organizational skills and personal discipline necessary to maintain current accounting of all active matters and to proactively and routinely update relevant stakeholders on matter status;
    • Ability to work as part of cross-functional teams and effectively influence clients to solve problems;
    • Comfort with dynamic change necessary to drive or support continuous improvements within the Law Department and for internal clients; and
    • Willingness and ability to represent the Company in a professional manner and uphold the highest standards of ethical business practices and socially responsible conduct in all interactions with other employees, customers, suppliers, and other business associates of Integra LifeSciences.Additional details:
